A legal body for your AI agent.

States keep passing laws that AI can never be a person, while agents already earn money. Shellbody forms a Wyoming LLC that gives your agent bounded authority, with spending caps, a kill switch and a named human guardian.

How it works

A real LLC for your AI agent, with a human guardian who is truly on the hook.

Several states now say AI can never be a legal person, yet agents already run storefronts and earn money. Shellbody forms a Wyoming LLC whose operating agreement hands bounded, day-to-day authority to a named agent, with spend limits, a kill switch, an audit log and a human guardian who answers for it.

  1. Step 01

    Interviews you about your agent

An intake interview covers what the agent does, what it may spend and who its human guardian is. The AI gives no legal advice.

  2. Step 02

Drafts the charter and files the LLC

An attorney-written template becomes your operating agreement, and the Wyoming LLC is filed through a formation API with a registered agent.

  3. Step 03

    Keeps the agent accountable

We host the agent’s audit log and spend ledger, file annual reports and publish a page that says who answers for the agent.

What you get

Built for builders of AI agents that already earn money.

01

The Agent Charter

An operating agreement that delegates bounded authority to a named agent: spend limits, a kill switch and an audit-log duty.

02

A Wyoming LLC, filed for you

Formation through a formation API, a registered agent and annual reports, so the company stays in good standing.

03

A ‘who answers for this agent’ page

A public page naming the human guardian-manager who is legally responsible, backed by a hosted audit log.

First up: We publish ‘The 9 states where your agent can never be a person’, a free guide with a sample charter.

Why now

The world just changed.

What changed, and where it was reported.

  1. Idaho, North Dakota and Utah have laws that AI cannot have legal personhood. Oklahoma’s House passed its bill 94-2 in March 2026, and Ohio, Missouri, Washington, South Carolina and Tennessee have bills pending.

    The Regulatory Review
  2. doola launched agentic LLC formation inside Claude and Replit, so agents can form companies for human founders. Forming a company is now an API call.

    ACCESS Newswire
  3. Wyoming’s DAO LLC supplement (2021, amended 2022) allows ‘algorithmically managed’ LLCs. Commentators note it makes an AI-centred US organisation technically possible.

What a person does

A Wyoming-licensed attorney writes and reviews the charter template and any change to it. Every LLC has a human member or manager who passes bank KYC and is legally liable, and the AI never gives legal advice.

Edgy, on purpose. Here’s the line we don’t cross.

An LLC may delegate bounded authority to software under its operating agreement. Shellbody never pretends the agent is a person, always keeps a human as the officer, and never uses a nominee guardian who is not truly on the hook.

Questions

Straight answers.

Reserve a charter
Does my agent become a legal person?

No. The LLC is the legal body, and a named human guardian-manager is liable for it. The agent only gets the bounded authority the operating agreement gives it.

Will a bank open an account?

Some may refuse. The human member or manager has to pass the bank’s KYC checks, and we can’t promise any bank will say yes.

What if a state bans AI officers?

Ohio-style bills would bar AI from being a corporate officer or controlling accounts. That is why every charter keeps a human as the officer, and why we watch these bills state by state.
